These Terms of Service ("Terms") govern your access to and use of brandistries.com (the "Site") and the services provided by Brandistries LLC ("Brandistries," "we," "us," or "our"). By using the Site or our services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter contracts. If you are using the Site on behalf of an entity, you represent that you are authorized to bind that entity.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3. Listings & Offers

All listings are subject to availability and verification. Prices and details are provided by sellers or by Brandistries and may change without notice. Submitting an offer or inquiry does not create a binding contract until accepted in writing and funded through escrow.

4. Brokerage Services

Brandistries acts as a broker for buyers and sellers of digital assets. We are not a registrar, hosting provider, or escrow service. Transactions are completed through third-party escrow providers (such as Escrow.com) under their terms and conditions.

5. Fees & Commissions

Unless otherwise stated in writing, Brandistries earns brokerage commissions on closed transactions, disclosed to the paying party in advance. Optional services (such as appraisals or featured listings) are billed at posted rates.

6. Intellectual Property

All Site content, trademarks, and design elements are the property of Brandistries LLC or licensed to us, and are protected under applicable laws. You may not copy, reproduce, or exploit any content without permission, except as permitted by fair use.

7. Prohibited Conduct

• Attempting to circumvent Brandistries to negotiate directly with a counterparty introduced through the Site.
• Submitting false, misleading, or unauthorized listings or inquiries.
• Infringing any third party's trademark, copyright, or other rights.
• Engaging in fraud, money laundering, or other illegal activity.
• Introducing malware, scraping at scale, or attempting unauthorized access.

8. Disclaimers

The Site and services are provided "as is" and "as available" without warranties of any kind. We do not guarantee the accuracy of listings, metrics, or valuations, nor the outcome of any transaction.

9. Limitation of Liability

To the maximum extent permitted by law, Brandistries LLC is not liable for indirect, incidental, consequential, special, or exemplary damages arising out of your use of the Site or services. Our total liability for any claim is limited to the greater of $100 USD or fees actually paid by you to Brandistries in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold Brandistries harmless from any claim, loss, or expense arising from your breach of these Terms or misuse of the Site.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Delaware.

12. Changes

We may revise these Terms from time to time. Material changes will be posted with a new "Last updated" date. Continued use of the Site after a revision constitutes acceptance of the updated Terms.
